End-User License Agreement

IMPORTANT — READ CAREFULLY: By clicking "I Accept," by passing the LIBRARIAN_EULA_ACCEPTED=1 property during silent installation, or by installing, copying, or otherwise using this software, you agree to be bound by the terms of this End-User License Agreement ("EULA"), our Terms of Service, and our Privacy Policy. If you do not agree, click "Decline" and do not install the software.
1. Agreement Overview
This EULA is a legal agreement between you ("User") and UMELLE EOOD ("UMELLE," "we," "our"), a company registered in Bulgaria, for the use of the UMELLE Librarian application, the Librarian Launcher, and all related components (collectively, the "Software").
This EULA governs your installation and use of the Software on your local machine. It works together with our Terms of Service and Privacy Policy, both available at umelle-librarian.ai. In the event of any conflict between this EULA and the Terms of Service, the Terms of Service shall prevail for matters not specific to installation and local use of the Software.
2. Age Requirement
You must be at least eighteen (18) years of age to install or use the Software. By proceeding with installation, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into this agreement.
3. What Gets Installed
3.1 Core Components
This installer places the following components on your machine:
- Librarian — A locally installed desktop application that enables agentic Retrieval Augmented Generation (RAG) operations on your documents. All document processing, embedding generation, indexing, and AI inference occur entirely on your local machine using your own hardware resources (GPU, CPU, RAM, V-RAM). Librarian interfaces with Ollama (a third-party local AI runtime) and does not ship or bundle any AI models.
- Librarian Launcher — A companion application that manages application startup, license verification, network configuration, and update management. The Launcher provides services including FQDN provisioning, ACME certificate management, a connection proxy, Ollama and GPU detection, and subscription management. The Launcher is a foreground-only application: it does not run as a background service, does not start on boot, and shuts down completely when you close its window.
3.2 Optional Components
During installation, you may be offered the option to install the following additional components. Each requires separate acceptance:
- Ollama CLI — A third-party local AI runtime licensed under the MIT License. Installation is gated by a separate license acceptance checkbox. If you decline, Ollama will not be installed, and you will need to install it independently to use Librarian. If Ollama is already detected on your system, this step is skipped.
- WSL2 and Ubuntu Distribution — If Windows Subsystem for Linux 2 (WSL2) is not already present on your system, the installer may enable WSL2 Windows features and install an Ubuntu distribution. This is a system-level modification that enables the Weaviate vector database to run in a Linux environment on your machine. WSL2 installation requires administrator privileges and an active internet connection. You may suppress WSL2 installation during silent/unattended installation by passing the INSTALL_WSL2=0 property. WSL2 and the Ubuntu distribution are not removed upon uninstallation of the Software, as they are shared system components that may be used by other applications.
3.3 Installation Locations and System Modifications
The installer places files and makes the following changes to your system:
- Application Files: Installed to C:\Program Files\Umelle\Librarian\ by default (customizable during installation). Includes the Launcher executable, update helper, trust helper, configuration files, and runtime libraries.
- Registry Entries: The installer writes entries to HKLM\Software\Umelle\Librarian\ (install path, version, install date) and HKCU\Software\Umelle\Librarian\ (shortcut key paths). These are removed upon uninstallation.
- Shortcuts: A Start Menu shortcut is always created. A Desktop shortcut is created by default and may be removed via command-line properties during installation.
- Windows Hosts File: In LAN mode, the Launcher writes a single entry to C:\Windows\System32\drivers\etc\hosts mapping your provisioned FQDN to your local network IP address. This entry enables local name resolution for your Librarian instance.
3.4 Runtime Data Directories
During normal operation, the Software creates and uses the following directories to store application data, user documents, and local databases:
- %AppData%\Librarian\ — License data (encrypted), grace period tracker, device identifier, log files, TLS certificates and private keys, ACME account key, and trust bundles.
- %LocalAppData%\Librarian\ — Weaviate vector database (embeddings and indexes), document storage (uploaded files), PostgreSQL data directory, installed application versions, and update staging area.
- %USERPROFILE%\.ollama\models\ — AI model weights downloaded through Ollama. The Launcher triggers the initial model download on first launch, but Ollama controls the storage location and lifecycle of these files.
These directories are created automatically and persist after uninstallation to preserve your data. See Section 24 (Uninstall and Residual Data) for details.
4. License Grant
Subject to your compliance with this EULA and an active paid subscription, UMELLE grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software on the number of devices ("seats") specified by your subscription plan, for your personal or internal business purposes.
5. Seat Management
5.1 Two-Tier Seat Model
The Software uses a two-tier seat model. Both seat types count against the same maximum seat limit defined by your subscription plan:
- Device Seats (Host Seats) — Ephemeral seats associated with the physical device running the Launcher. A device seat is claimed when the Launcher starts and is identified by a randomly generated device identifier (GUID) stored locally. Device seats are automatically released after thirty (30) minutes of inactivity (i.e., if the Launcher stops sending heartbeat signals) or immediately upon graceful application shutdown. If you replace a device, you do not need to take any manual action — the old device's seat will auto-release within 30 minutes.
- Account Seats (User Seats) — Persistent seats associated with individual user accounts within the Librarian application. Account seats are explicitly created and must be explicitly revoked through the application. They do not expire automatically. An active device seat is required to create or revoke account seats.
5.2 Seat Limits
You may not exceed the maximum number of seats included in your subscription plan. The combined total of active device seats and active account seats must remain at or below your licensed seat count at all times. UMELLE tracks seat usage through the license server.
6. License Restrictions
You agree that you will not:
- Copy, modify, distribute, sell, lease, sublicense, or create derivative works of the Software or any component thereof.
- Reverse engineer, decompile, or disassemble the Software, except to the extent expressly permitted by applicable law that cannot be contractually waived.
- Remove, alter, or obscure any copyright, trademark, or proprietary notices in the Software.
- Use the Software to develop a competing product or service.
- Share, transfer, or allow others to use your license key or credentials.
- Circumvent, disable, or interfere with any license enforcement, seat tracking, heartbeat mechanisms, or security features.
- Exceed the number of licensed seats under your subscription plan.
- Use the Software in any manner that violates applicable laws or regulations.
- Attempt to gain unauthorized access to the license server, other users' accounts, or any UMELLE systems.
7. Subscription and Payment
7.1 Subscription Requirement
The Software requires an active paid subscription to function. Your subscription is managed through Stripe, Inc. ("Stripe"). By subscribing, you agree to Stripe's terms of service and privacy policy. UMELLE does not collect, store, or process payment card information. All billing inquiries related to payment processing should be directed to Stripe through your account dashboard.
7.2 Free Trial
New users are entitled to a one (1) month free trial period with full access to all features. At the end of the free trial, your subscription will automatically convert to a paid subscription at the then-current rate for your plan unless you cancel before the trial period ends. UMELLE will notify you before the trial ends, specifying the conversion date, the amount to be charged, and how to cancel. By starting a free trial, you consent to automatic conversion to a paid subscription if you do not cancel before the trial period ends.
7.3 Billing and Cancellation
Subscriptions are billed on a recurring basis according to your chosen plan. You may cancel your subscription at any time. Upon cancellation, you retain access to the Services until the end of your current paid billing period. No further charges will be applied. After your access period expires, your license will be revoked and the Software will cease to function.
7.4 Refund Policy
All subscription payments are non-refundable. Given the availability of a free trial period and the fact that you retain access through the end of your paid billing period upon cancellation, refunds are not provided. This does not affect any statutory rights you may have under applicable consumer protection laws.
8. Offline Use and Grace Period
The Launcher communicates with the UMELLE license server to validate your license and manage seats. If the license server is unreachable due to a connectivity failure:
- Grace Period: The Software will continue to operate normally for up to thirty (30) days from the date of the last successful license server contact, with a warning banner indicating the remaining grace time.
- After Grace Expiry: If thirty (30) days elapse without a successful license server connection, the Software will not launch until connectivity is restored and a valid license is confirmed.
- Invalid or Revoked Licenses: The grace period applies only to connectivity failures. If your license is explicitly invalid, expired, or revoked, the Software will not launch regardless of grace period status.
- Mid-Session Connectivity Loss: If the license server becomes unreachable while the Software is already running, the current session will continue without interruption. The Software will not terminate mid-session due to a heartbeat failure.
9. Network Communications
9.1 Outbound Connections
The Launcher makes outbound network connections exclusively to the following destinations, over HTTPS (port 443), for the purposes described below:
- api.umelle-librarian.ai — License validation, seat checkout and release, periodic heartbeat (every 5 minutes), license policy public key retrieval, server health checks, ACME DNS challenge management, DNS A-record upsert (transmits your local network IP address for LAN mode functionality), and TLS certificate metadata reporting (certificate dates only; private keys are never transmitted).
- downloads.umelle-librarian.ai — Update manifest checks (every 30 minutes; no user data transmitted), application update package downloads (only when you explicitly click "Update"), and Launcher self-update downloads (only when you explicitly accept an update prompt).
- acme-v02.api.letsencrypt.org — Let's Encrypt ACME protocol for TLS certificate provisioning (approximately every 76 days). Transmits your ACME account public key and a certificate signing request for your FQDN. Private keys are never transmitted.
- 127.0.0.1:11434 (loopback only) — Communication with the Ollama API running on your local machine for model status checks and initial model downloads on first launch. This traffic never leaves your machine.
- System DNS (UDP port 53) — Standard DNS queries for ACME challenge verification during certificate provisioning.
9.2 Data NOT Transmitted
For clarity, the following data is never transmitted to UMELLE, to any UMELLE server, or to any third party:
- Your documents, files, or any content you upload into or process with Librarian.
- Your chat conversations, queries, or AI-generated responses.
- Your document embeddings or vector database contents.
- TLS or ACME private keys.
- Hardware fingerprints (the device identifier is a random GUID, not derived from hardware).
- Telemetry data, usage analytics, or automatic crash reports.
- Filesystem paths, browsing history, or data from other applications.
9.3 LAN IP Address Disclosure
In LAN mode, the Launcher transmits your device's local network IP address (e.g., 192.168.x.x) to the UMELLE license server for the sole purpose of creating a DNS A-record that enables other devices on your local network to access your Librarian instance. This is a private, non-routable IP address that is not meaningful outside your local network. In Loopback mode, no LAN IP is transmitted.
10. Updates
10.1 Update Checks
The Launcher automatically checks for available updates by fetching an update manifest from downloads.umelle-librarian.ai every thirty (30) minutes. This check transmits no user data — it is a simple download of a JSON manifest file.
10.2 User-Initiated Updates
No updates are downloaded or installed without your explicit action. Application updates require you to click the "Update Available" button in the Launcher. Launcher self-updates present a confirmation dialog that you must accept. You may decline any update, and the Software will continue to run on its current version with no license consequences.
10.3 Update Integrity
All downloaded update packages are verified against a SHA-256 cryptographic hash provided in the update manifest. If the hash does not match, the downloaded package is deleted and the update fails safely.
10.4 Launcher Self-Update Elevation
Launcher self-updates require Windows administrator privileges. You will see a standard Windows User Account Control (UAC) elevation prompt when a Launcher update is applied.
10.5 Configuration Files
Application updates may overwrite configuration files, including appsettings.json. Custom modifications to configuration files shipped with the Software are not preserved during updates. UMELLE reserves the right to modify, update, or discontinue features of the Software at any time.
11. Third-Party Software
11.1 Bundled and Integrated Components
The Software includes, bundles, or interfaces with the following third-party components. Your use of these is governed by their respective license terms:
- Ollama (MIT License) — A third-party local AI runtime optionally bundled with the installer. If you accept the Ollama license during installation, the Ollama CLI is installed alongside Librarian. You are responsible for selecting and downloading AI models through Ollama. UMELLE is not responsible for the outputs, accuracy, or biases of any AI models.
- Weaviate (BSD 3-Clause License) — An open-source vector database used for document embedding storage and retrieval. Weaviate is downloaded from UMELLE's distribution server as part of the application bundle and runs locally on your machine (within WSL2 or natively).
- PostgreSQL (PostgreSQL License) — An open-source relational database used for local application data storage. Runs entirely on your machine.
- Let's Encrypt / ISRG — TLS certificates are provisioned through the Let's Encrypt ACME protocol. Let's Encrypt does not impose licensing requirements on issued certificates.
- WSL2 and Ubuntu — Microsoft and Canonical components, respectively. Subject to Microsoft's and Canonical's license terms.
11.2 Third-Party Service Providers
The Software relies on the following third-party service providers for licensing and infrastructure:
- Stripe (stripe.com) — Payment processing and subscription billing. UMELLE does not handle your payment card information.
- Cloudflare (cloudflare.com) — DNS management, CDN, DDoS protection, and application bundle hosting. Cloudflare may process IP addresses as part of its network services in accordance with Cloudflare's privacy policy.
- Microsoft (Graph API) — Transactional email delivery for license keys, download links, and support notifications. Microsoft processes recipient email addresses and email content.
11.3 Open-Source License Notices
The Software incorporates numerous open-source libraries, all under permissive licenses (MIT, BSD 3-Clause, Apache 2.0, ISC, PSF, PostgreSQL License, Unlicense, and MPL 2.0). Complete license notices for all third-party components are provided in the THIRD_PARTY_LICENSES.txt and licenses.txt files distributed with the Software. No component is licensed under a copyleft license (GPL, LGPL, AGPL, or SSPL) that would impose source code disclosure obligations.
12. Your Data and Privacy
12.1 Local Data Ownership
You retain full ownership of all documents, files, embeddings, chat conversations, AI-generated outputs, and any other data processed or created by Librarian on your machine. UMELLE claims no rights to this data and has no technical ability to access it. Your local data is not transmitted to UMELLE or any third party unless you choose the LAN access mode, in which case data is accessible only within your local network.
12.2 Document Processing
All document processing — including parsing, text extraction, OCR rendering, chunking, and embedding generation — occurs entirely in memory using in-memory buffers. The Software does not create temporary files during document processing. The only file written to disk is the permanent copy of your uploaded document stored at the designated local storage path.
12.3 License Server Data
To operate the licensing and subscription system, UMELLE collects limited data through the license server, including: your email address, license ID, Stripe customer and subscription identifiers, device identifier (random GUID), FQDN, certificate metadata (dates only), local network IP address (in LAN mode), and seat usage data. This data is used solely for license management, compliance, and service delivery.
12.4 Support Data
The Software does not collect telemetry, usage analytics, or automatic crash reports. However, if you submit a support ticket through the Launcher, system information is collected and transmitted automatically as part of the ticket submission. Support data is collected only at your initiation and may be anonymized upon request. UMELLE performs regular anonymization of resolved support data to minimize retention of identifiable information. Please review any data you submit and redact sensitive information before submission.
12.5 Privacy Policy
Your use of the Software is also governed by our Privacy Policy. The Privacy Policy provides full details on data collection, use, retention, your rights under the GDPR and CCPA, and our third-party data processors. The Privacy Policy is incorporated into this EULA by reference.
13. FQDN and Certificate Services
In LAN mode, UMELLE provisions a unique subdomain under the umelle-librarian.ai domain and a TLS certificate issued through the Let's Encrypt ACME protocol for your Librarian instance. You acknowledge that:
- The subdomain remains the property of UMELLE and is licensed to you solely for use with the Software during your active subscription.
- The subdomain and associated certificate will be deactivated upon license revocation or subscription termination.
- UMELLE may update, rotate, or reissue subdomains and certificates for security or operational reasons.
- You will not use the provisioned subdomain for any purpose other than accessing your Librarian instance.
- The TLS private key is generated and stored locally on your machine in PFX (PKCS#12) format, protected by a randomly generated password using a cryptographically secure random number generator. The private key is never transmitted to UMELLE or any third party. The PFX file and its password are accessible to the current Windows user account via standard file system permissions.
14. Data Security
We implement appropriate technical and organizational measures to protect your data, including:
- TLS/HTTPS encryption for all data in transit between the Launcher and the license server.
- ACME-provisioned TLS certificates for secure local HTTPS access in LAN mode.
- SHA-256 hash verification for all downloaded update packages.
- DPAPI encryption for locally stored license key data.
- Cryptographically secure random number generation for device identifiers and certificate passwords.
- Local-first architecture ensuring your documents and AI data never leave your machine.
While we take reasonable steps to protect your data, no method of electronic transmission or storage is completely secure. We cannot guarantee absolute security. The TLS certificate private key stored on your machine is protected by OS-level file permissions associated with your Windows user account.
15. AI Output Disclaimer
Librarian interfaces with AI models running locally on your machine through Ollama. You acknowledge and agree that:
- AI-generated outputs may contain errors, inaccuracies, hallucinations, or biases.
- You are solely responsible for evaluating, verifying, and relying on AI-generated outputs.
- The Software is a tool to assist you and is not a substitute for professional judgment, legal advice, medical advice, financial advice, or any other form of professional counsel.
- UMELLE does not control, curate, or verify the AI models you choose to download and use, and makes no representations regarding their accuracy, suitability, or compliance with any standards.
- The in-application disclaimer ("Librarian uses AI and can make mistakes. Please double-check responses.") reflects the inherent nature of AI-generated content and applies to all outputs produced by the Software.
16. Intellectual Property
The Software and all related materials, including source code, object code, documentation, website content, trademarks, logos, and trade names, are the exclusive property of UMELLE EOOD and are protected by copyright, trademark, and other applicable intellectual property laws. This EULA does not transfer any ownership rights to you beyond the limited license granted in Section 4.
You retain all intellectual property rights in your documents, data, and any content you create or process using the Software.
17. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED AVAILABILITY.
UMELLE does not warrant that: the Software will be error-free, uninterrupted, or free of harmful components; the results obtained from the Software (including AI-generated outputs) will be accurate, complete, or reliable; the Software will meet your specific requirements; or that any defects will be corrected.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL UMELLE, ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SOFTWARE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UMELLE'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THIS EULA OR THE SOFTWARE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO UMELLE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if UMELLE has been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in full.
19. Indemnification
You agree to indemnify, defend, and hold harmless UMELLE EOOD, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Software; (b) your violation of this EULA or the Terms of Service; (c) your violation of any rights of a third party; (d) the content of any documents or data you process using the Software; or (e) your selection, download, or use of any AI models through Ollama.
20. Export Compliance
The Software may be subject to export control and sanctions laws of the European Union, the United States, and other jurisdictions. By using the Software, you represent and warrant that:
- You are not located in, a national or resident of, or acting on behalf of any country, territory, or entity that is subject to comprehensive trade sanctions imposed by the European Union or the United States (including but not limited to measures administered by the EU Council and the U.S. Office of Foreign Assets Control).
- You are not listed on any applicable restricted or denied party list.
- You will comply with all applicable export control and sanctions laws and regulations in connection with your use of the Software.
UMELLE reserves the right to restrict or terminate access to the Software in any jurisdiction as required by applicable law.
21. Data Breach Notification
In the event of a security breach affecting the personal data held on the license server, UMELLE will notify affected users without unreasonable delay and in accordance with applicable law, including the notification obligations under the General Data Protection Regulation (GDPR) and applicable U.S. state data breach notification statutes. Notification will be provided via the email address associated with your account.
A security breach of the license server cannot compromise your local documents, embeddings, conversations, or AI outputs, as this data is never transmitted to or stored on the license server.
22. Account Deletion
You may request deletion of your account and all associated personal data held on the license server by contacting support@umelle.com. Upon receiving a verified deletion request, UMELLE will process the deletion within thirty (30) days. Deletion includes the removal of your license record and all associated data (device leases, account leases, host certificates, Stripe bindings, and activity logs).
Anonymized aggregate data (such as feedback scores, plan type, and trial status, with all identifying information removed) may be retained for product improvement purposes after deletion of your identifiable data. Consent records are retained in accordance with the retention schedule described in our Privacy Policy.
Account deletion does not affect any documents, embeddings, or data stored locally on your machine, which remain under your sole control.
23. Termination
23.1 Termination by You
You may terminate this EULA at any time by canceling your subscription and uninstalling the Software. Cancellation does not entitle you to a refund for any previously paid fees.
23.2 Termination by UMELLE
We may suspend or terminate your access to the Software immediately, without prior notice or liability, if: (a) you breach any provision of this EULA or the Terms of Service; (b) your payment fails and is not resolved within a reasonable period; (c) we are required to do so by law; or (d) we discontinue the Software.
23.3 Effect of Termination
Upon termination, your license is immediately revoked and you must cease all use of the Software and uninstall all copies. The following sections survive termination: Section 12.1 (Local Data Ownership), Section 15 (AI Output Disclaimer), Section 16 (Intellectual Property), Section 17 (Disclaimer of Warranties), Section 18 (Limitation of Liability), Section 19 (Indemnification), Section 20 (Export Compliance), and Section 26 (Governing Law).
Termination does not affect your ownership of or access to documents and data stored locally on your machine. UMELLE has no ability to access or delete your local data.
24. Uninstall and Residual Data
24.1 What Is Removed
Uninstalling the Software removes: all application files in the installation directory, Start Menu and Desktop shortcuts, all registry entries created by the installer, and the bundled Ollama CLI (if installed by the UMELLE installer).
24.2 What Is NOT Removed
The following items are not removed by the uninstaller and remain on your machine under your control:
- Your uploaded documents, embeddings, and vector database contents stored in %LocalAppData%\Librarian\.
- Your PostgreSQL database and associated data stored in %LocalAppData%\Librarian\postgresql\.
- Application logs, TLS certificates, and license metadata stored in %AppData%\Librarian\.
- AI model weights stored in %USERPROFILE%\.ollama\models\ (managed by Ollama, not by UMELLE).
- WSL2 Windows features and the Ubuntu distribution, as these are shared system components.
- Any system-wide Ollama installation that was not installed by the UMELLE installer.
- The Windows hosts file entry created in LAN mode.
You are responsible for manually deleting any residual data you no longer wish to retain. UMELLE has no ability to access or remotely delete data stored on your machine.
25. Silent and Enterprise Installation
The Software supports silent (unattended) installation for enterprise deployment. Silent installation is performed using the following command syntax:
msiexec /i Librarian.msi /qn /l*v install.log LIBRARIAN_EULA_ACCEPTED=1 OLLAMA_LICENSE_ACCEPTED=1 The LIBRARIAN_EULA_ACCEPTED=1 property is required for silent installation and constitutes the deploying party's acceptance of this EULA on behalf of all end users who will use the Software under the license. The deploying party (e.g., an IT administrator) represents and warrants that they have the authority to bind all end users to this EULA and the Terms of Service.
Additional silent installation properties include: OLLAMA_LICENSE_ACCEPTED=1 (accepts the Ollama MIT License; required to bundle Ollama CLI), INSTALL_WSL2=0 (skips WSL2 installation), and INSTALLDIR="path" (custom installation directory).
26. Governing Law and Dispute Resolution
26.1 Governing Law
This EULA shall be governed by and construed in accordance with the laws of the Republic of Bulgaria, without regard to its conflict of law principles. To the extent that EU regulations apply (including the GDPR), they shall take precedence.
26.2 Dispute Resolution
Any disputes arising out of or in connection with this EULA shall first be subject to good faith negotiation between the parties for a period of thirty (30) days. If the dispute cannot be resolved through negotiation, it shall be submitted to the exclusive jurisdiction of the competent courts of Sofia, Bulgaria.
26.3 EU Consumer Rights
If you are a consumer in the European Union, nothing in this EULA affects your statutory rights under applicable EU consumer protection laws, including the right to pursue claims in the courts of your country of residence. EU consumers may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/odr.
27. Platform Availability
The Software is currently available for Microsoft Windows only. UMELLE may release versions for additional operating systems (including macOS and Linux) in the future. Any future platform releases will be governed by this EULA or an updated version thereof. Platform availability is not guaranteed and may be discontinued at UMELLE's discretion.
28. General Provisions
Entire Agreement. This EULA, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and UMELLE regarding the installation and use of the Software and supersedes all prior agreements and understandings.
Severability. If any provision of this EULA is found to be unenforceable or invalid by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
Waiver. The failure of UMELLE to enforce any right or provision of this EULA shall not constitute a waiver of such right or provision.
Assignment. You may not assign or transfer your rights or obligations under this EULA without UMELLE's prior written consent. UMELLE may assign its rights and obligations without restriction.
Force Majeure. UMELLE shall not be liable for any failure or delay in performing its obligations due to circumstances beyond its reasonable control, including natural disasters, acts of government, pandemics, internet outages, or third-party service failures.
